Trader Agreement

This Trader Agreement applies to you when you use TradesFlow as a trader (a self-employed tradesperson or trade business) to find and carry out work for customers. It works alongside, and forms part of, our Terms of Service, Payments & Escrow Terms, Privacy Policy, Acceptable Use Policy, and Dispute Resolution Policy.
The Platform is operated by GMHCO LTD (trading as "TradesFlow"), registered in England & Wales, company number 16056150, registered office 5 Mallard Path, London, England, SE28 0EU.
By ticking the acceptance box at sign-up, you confirm you have read and agree to this Agreement and the documents listed above.
1. Your status — independent business
1.1 You provide your services as an independent business on your own account. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship between you and TradesFlow. You are not our employee, worker, or agent.
1.2 You are solely responsible for your own taxes (including Income Tax, National Insurance, and VAT where applicable), your tools and materials, your insurance, your health & safety compliance, and the way you carry out your work.
1.3 You are free to accept or decline jobs and to work through other channels.
2. Verification (KYC), insurance, and qualifications
2.1 Before you can receive payouts you must complete our verification, which may include:
- identity (KYC) — ID document and selfie/biometric check;
- business registration details where you trade as a company or partnership;
- proof of insurance (e.g. public liability) where relevant to your trade;
- bank account verification via Stripe Connect;
- any trade certifications or registrations required by law for your trade (for example
Gas Safe registration for gas work, or registration with a competent-person scheme for certain electrical work).
2.2 You must keep this information accurate and current, hold and maintain the insurance and certifications appropriate to the work you accept, and provide evidence on request. Carrying out regulated work without the legally required registration is a serious breach of this Agreement and may be unlawful.
2.3 We may carry out and re-run checks, and may suspend your account or withhold payouts where verification is incomplete, expired, or fails, or where we are required to by law.
3. Doing the work
3.1 You agree to:
- only accept jobs you are competent, qualified, insured, and available to carry out;
- carry out the work with reasonable care and skill, in a reasonable time, in line with
the agreed scope, and in compliance with all applicable laws, standards, and building regulations;
- give the customer honest information and a fair price, and use change orders through
the Platform for any agreed change in scope or price;
- upload evidence (before/during/after photos, documents) where requested;
- mark jobs complete only when the work is genuinely finished.
3.2 The contract for the work is between you and the customer. You — not TradesFlow — are responsible for the work, any guarantees or warranties you give, and any defects.
4. Fees, escrow, and payouts
4.1 Platform fee. TradesFlow charges a platform fee of 10% of the job value. You receive 90%. The fee is deducted automatically from escrow when funds are released to you. There are no monthly subscription fees or commissions beyond the platform fee, unless we expressly agree otherwise in writing.
4.2 Escrow. Customer funds are held in escrow and released to you on job completion and customer confirmation, or per agreed milestones for larger jobs (deposit / phase / final). You will not receive payment for work where the customer has not funded escrow, and you should not begin work until escrow is funded.
4.3 Payouts. Payouts are made to your verified bank account via Stripe Connect, subject to Stripe's terms and any verification or risk holds. Payout timing depends on Stripe and on job completion events.
4.4 VAT. If you are VAT registered, VAT is applied as required and you are responsible for accounting to HMRC. The platform fee is tracked separately for reporting. You are responsible for your own tax affairs and records.
4.5 Refunds, cancellations, and chargebacks. Where a job is cancelled, refunded, or the subject of a dispute or chargeback, amounts may be withheld, reversed, or recovered from your balance or future payouts. See the Payments & Escrow Terms.
5. Anti-bypass and fee avoidance
5.1 Jobs that originate on the Platform must be transacted on the Platform. You must not solicit or accept off-Platform payment for a Platform-originated job, share personal contact details to move a job off-Platform, or otherwise try to avoid the platform fee or escrow.
5.2 We use automated and manual measures to detect bypass attempts. Breach may lead to warnings, restrictions, withheld payouts, suspension, or removal, and we may recover fees that were avoided.
6. Conduct, reviews, and trust score
6.1 You must treat customers and staff professionally and comply with the Acceptable Use Policy.
6.2 We operate a trust score based on factors such as completion rate, ratings, responsiveness, cancellations, and risk signals. Your trust score affects your matching and visibility. You must not manipulate reviews or ratings.
7. AML and fraud monitoring
7.1 We carry out anti-money-laundering and fraud monitoring (for example, flagging large unusual payments, rapid cashouts, and repeated cancellations). We may request information, pause payouts, freeze accounts, and make reports to authorities where we are required to or reasonably suspect unlawful activity.
8. Suspension and termination
8.1 You may stop using the Platform and close your account at any time, subject to completing in-flight jobs and escrow obligations.
8.2 We may suspend or terminate your account for breach of this Agreement, the Acceptable Use Policy, or the law; for failed or expired verification; for safety, risk, or fraud reasons; or where required by Stripe or a regulator. Where reasonable and lawful we will give notice. Sums properly owed to you for completed, undisputed work remain payable subject to verification and risk checks.
9. Liability and indemnity
9.1 TradesFlow's liability to you is as set out in the Terms of Service, section 9.
9.2 Because you are responsible for your own work, you agree to indemnify TradesFlow against claims, losses, and costs arising from your work, your breach of this Agreement or the law, your lack of required insurance or certification, or injury or damage caused by you.
10. Changes and contact
10.1 We may update this Agreement as set out in the Terms of Service, section 11.
