Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TradesFlow platform — the website at tradesflow.trade, the TradesFlow customer and trader mobile applications, and all related services (together, the "Platform").
The Platform is operated by GMHCO LTD, a company registered in England & Wales (company number 16056150), trading as "TradesFlow", whose registered office is at 5 Mallard Path, London, England, SE28 0EU ("TradesFlow", "we", "us", "our").
By creating an account, accessing, or using the Platform you agree to these Terms. If you do not agree, you must not use the Platform.
1. Who we are and what we do
1.1 TradesFlow is an online marketplace that connects customers who need work done with self-employed or business tradespeople ("traders") who provide trade and home services. We provide the technology that lets customers describe jobs, receive AI-assisted price guidance, be matched with traders, communicate, pay through a secure escrow facility, and leave reviews.
1.2 We are not a party to the contract for the work itself. The contract for the services performed is between the customer and the trader. TradesFlow is not a trader, an employer of traders, a builder, or a contractor, and does not carry out the work, supervise it, or guarantee its quality, except where we expressly state otherwise in these Terms or in the Payments & Escrow Terms.
1.3 Specific user groups are also governed by additional terms which form part of your agreement with us:
- Customers — the Customer Agreement
- Traders — the Trader Agreement
- Everyone — the Payments & Escrow Terms, the
Acceptable Use Policy, the Dispute Resolution Policy, the Privacy Policy and the Cookie Policy.
If there is a conflict, the document specific to your role (Customer or Trader Agreement) prevails over these general Terms for that role.
2. Eligibility and accounts
2.1 You must be at least 18 years old and able to enter into a legally binding contract to use the Platform.
2.2 You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for all activity under your account and for keeping your login credentials secure. Notify us immediately at info@tradesflow.trade if you suspect unauthorised use.
2.3 Accounts are personal to you (or, for a business, to the registered business). You must not share, sell, or transfer your account.
2.4 We may apply additional verification, including identity, business, insurance, and bank checks for traders (see the Trader Agreement and section 6).
3. How the Platform works
3.1 A customer posts a job. The Platform may generate an AI-assisted price estimate. This estimate is guidance only — an indicative range based on the information provided and market data. It is not a quote, an offer, or a guarantee of price, and the final price is agreed between the customer and the trader.
3.2 The Platform matches the job to suitable traders, who may accept the job or submit a quote. When a customer and trader agree, the customer pays into escrow before work begins (see section 5 and the Payments & Escrow Terms).
3.3 Communication, quotes, change orders, evidence, completion confirmation, and reviews all take place through the Platform. You agree to keep your dealings on the Platform so that the escrow, dispute, and consumer-protection mechanisms can operate (see section 7).
4. Reviews, ratings, and trust scores
4.1 Reviews may only be left in connection with a genuine, completed job. Reviews must be honest, lawful, and not defamatory, abusive, or misleading.
4.2 We operate trust scores for customers and traders based on factors such as completion history, ratings, responsiveness, and risk signals. Trust scores affect matching and visibility. We may adjust the scoring model from time to time.
4.3 We may remove reviews or content that breach these Terms or the Acceptable Use Policy, and may moderate, refuse, or remove content at our discretion where it is unlawful or harmful.
5. Payments, fees, and escrow
5.1 Payments are processed by our payment partner Stripe, including via Stripe Connect for trader payouts. By using the Platform's payment features you also agree to Stripe's applicable terms.
5.2 Customer funds are held in escrow and released to the trader on job completion (or per agreed milestones for larger jobs), less the platform fee.
5.3 TradesFlow charges a platform fee of 10% of the job value, deducted from the amount released to the trader; the trader receives the remaining 90%. Fees are set out in full in the Payments & Escrow Terms and the Trader Agreement.
5.4 Full details of escrow, milestones, change orders, refunds, cancellations, VAT, and payouts are in the Payments & Escrow Terms, which form part of these Terms.
6. Trader verification and compliance
6.1 Traders must complete identity (KYC) and, where applicable, business, insurance, and bank verification before they can be paid. We may carry out anti-money-laundering (AML) monitoring and may suspend accounts or hold funds where we identify risk, suspected fraud, or legal obligations to do so.
6.2 Verification badges indicate that certain checks were completed; they are not a warranty of a trader's ongoing competence, conduct, or insurance status, and you should carry out your own due diligence as appropriate.
7. Acceptable use and off-platform dealing
7.1 You must comply with the Acceptable Use Policy.
7.2 Anti-bypass. Arranging payment for a Platform-originated job outside the Platform to avoid fees, escrow, or protections is prohibited. It removes your escrow and dispute protection, and we may detect, warn, restrict, suspend, or remove accounts that attempt it.
8. Intellectual property
8.1 The Platform, its software, design, content, and trademarks (including "TradesFlow") are owned by or licensed to us and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose.
8.2 You retain ownership of content you submit (such as job descriptions, photos, and reviews) but grant us a worldwide, royalty-free licence to host, use, reproduce, and display that content as needed to operate, promote, and improve the Platform. You confirm you have the rights to grant this licence.
9. Disclaimers and our liability
9.1 The Platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free.
9.2 Because the contract for the work is between customer and trader, we are not liable for the performance, quality, safety, timeliness, or legality of any work carried out by a trader, nor for any goods or materials supplied, except to the extent of any express guarantee we give in the Payments & Escrow Terms (for example, escrow handling and dispute outcomes).
9.3 Nothing in these Terms limits or excludes our liability where it would be unlawful to do so — including liability for death or personal injury caused by our negligence, for fraud, or for any consumer rights that cannot be excluded under the Consumer Rights Act 2015.
9.4 Subject to clause 9.3, and to the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss of opportunity, and our total liability to you arising out of or in connection with the Platform in any 12-month period is limited to the greater of (a) the total platform fees we earned from your transactions in that period and (b) £100.
9.5 If you are a consumer, clauses 9.2 and 9.4 do not affect your statutory rights, and you also have the protections set out in the Customer Agreement.
10. Suspension and termination
10.1 You may close your account at any time. Certain records (for example, payment and audit records) are retained as required by law — see the Privacy Policy.
10.2 We may suspend or terminate your access immediately if you breach these Terms, the Acceptable Use Policy, or the law, if required for security, legal, or risk reasons, or if we reasonably suspect fraud. Where reasonable and lawful, we will give you notice.
10.3 Termination does not affect accrued rights, in-flight escrow obligations, or clauses intended to survive (including sections 8, 9, 11, and 12).
11. Changes to the Terms
11.1 We may update these Terms to reflect changes in our services, the law, or our business. We will post the updated Terms with a new "Last updated" date and, for material changes, give reasonable notice (for example, by email or in-app). Continued use after the changes take effect means you accept the updated Terms.
12. Governing law and disputes
12.1 These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your local courts.
12.2 Disputes between customers and traders about a job are handled first through our Dispute Resolution Policy. Complaints about TradesFlow itself can be sent to legal@tradesflow.trade, and consumers may also be entitled to use alternative dispute resolution or the courts.
